Business & Entity Formation
Effective legal advice will secure your investment, minimize difficulties and disputes with
business associates, save taxes and expense, and reduce any uncertainty. We work with
proprietors, partnerships, corporations and joint ventures. Our work includes incorporation,
partnership and shareholder agreements, buying and selling businesses, financing and all
other transactions and advice for the entrepreneur.
Powers of Attorney
A Power of Attorney is a document by which you appoint and authorize a particular person
to act as your Agent (or "Attorney-in-Fact") handle your affairs while you are unavailable or
unable to do so. This could be due to overseas military or work assignments, extended travel,
or a time when you are physically or mentally unable to handle your affairs.
While your Agent does not need to be an attorney, it is important to select someone you
trust. You need to choose someone who will not abuse the powers you grant to them, and
who will look out for your best interest. In general, an Agent is only held responsible for
misconduct that is intentional, not for unknowingly doing something wrong. Therefore it is
important your Agent has maturity and sound judgment.
Estate Planning
There is a popular myth that only the wealthy need to worry about Wills and Estate
Planning. Nothing could be further from the truth. Lack of proper planning is the fastest
way to ensure confusion and disappointment at the time of your death. No matter how
slight you believe your assets to be, it is important for you to take the proper steps to
protect and preserve them for the use and benefit of your heirs, with minimum taxes and
intervention by the legal system. Our firm strongly believes that a wisely drafted, carefully
executed Estate Plan is the most critical component for a financially secure future for you
leave behind.
Probate
Probate is a legal process for the orderly transfer of property when the owner of that
property dies. Its purpose is to ensure the interests of all involved (beneficiaries, heirs,
creditors, and taxing authorities alike) are protected. Each probate situation is unique, and
the time to settle an estate will vary.
